These Terms of Service ("Terms") govern your access to and use of the services, software, and website (collectively, the "Service") provided by Ordica LLC ("Ordica," "we," "us," or "our"), a California limited liability company. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
You must be at least 18 years old and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
To access certain features, you may need to register for an account. You agree to provide accurate, current, and complete information and to keep your account credentials confidential. You are responsible for all activity under your account. Notify us immediately at support@ordica.ai if you suspect unauthorized access.
Ordica provides AI compression technology that reduces token usage when interacting with large language model APIs. The Service includes an SDK, API proxy, and related tools. Compression rates, savings, and quality may vary depending on the provider, model, prompt type, and usage patterns.

All rights, title, and interest in and to the Service — including all software, algorithms, compression methods, documentation, and related intellectual property — are and remain the exclusive property of Ordica LLC. These Terms do not grant you any rights to our trademarks, trade names, or patents. Your use of the Service does not transfer any ownership of our technology to you.
You retain all rights to the data you transmit through the Service ("Your Data"). We do not store, log, or retain the content of your API requests or responses. Your Data passes through the Service in memory only for the purpose of compression and is discarded immediately after processing. We collect only anonymous usage telemetry (token counts, savings percentages, provider selection) and never the content of your messages.
Certain features of the Service require a paid subscription. Fees are billed in advance on a monthly basis through our payment processor, Stripe. All fees are stated in U.S. dollars and are non-refundable except as required by law. We reserve the right to change pricing with 30 days' notice. Usage-based billing is calculated based on metered usage as described in your plan.
We may offer a free tier with limited features and usage. The free tier is provided "as is" with no service level commitment. We reserve the right to modify or discontinue the free tier at any time without notice.
You may cancel your account at any time by contacting support@ordica.ai. We may suspend or terminate your access if you violate these Terms or for any reason with 30 days' notice. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination will survive, including Sections 5, 10, 11, 12, and 14.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT COMPRESSION WILL ACHIEVE ANY SPECIFIC SAVINGS RATE OR QUALITY LEVEL.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ORDICA LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU PAID TO ORDICA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
You agree to indemnify, defend, and hold harmless Ordica LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Service or violation of these Terms.
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by JAMS in Sacramento County, California, in accordance with its Streamlined Arbitration Rules. The arbitrator's decision shall be final and binding. Each party shall bear its own costs of arbitration. Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction.
These Terms constitute the entire agreement between you and Ordica LLC regarding the Service. If any provision is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any right or provision does not constitute a waiver of that right or provision. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
